1. Acceptance of Terms

By accessing or using the services provided by HearthLeadership.com ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

HearthLeadership provides corporate leadership consulting services, including but not limited to:

  • Online meetings and virtual consultations

  • In-person consultancy services

  • Overseas leadership retreats and programs

The specific scope, deliverables, and terms of engagement for each service will be outlined in separate consulting agreements or statements of work as applicable.

3. Separate Consulting Agreements

For longer-term or more comprehensive consulting engagements, you will be required to enter into a separate consulting agreement that will govern the specific terms of that engagement. In the event of any conflict between these Terms and a separate consulting agreement, the consulting agreement shall prevail.

4. Payment Terms

Payment for our services may be structured as:

  • Upfront payment in full

  • Deposit with balance due upon completion or at specified milestones

  • Invoiced amounts with payment terms as specified on each invoice

All fees are stated in Australian Dollars (AUD) unless otherwise specified. Payment is due as specified in your invoice or consulting agreement. Late payments may incur interest charges and/or suspension of services.

5. Refund Policy

All payments for services are non-refundable except in extraordinary circumstances beyond either party's control (including but not limited to acts of God, natural disasters, pandemic-related travel restrictions, or other force majeure events). Any requests for refunds under such circumstances will be considered on a case-by-case basis at our sole discretion.

6. Service Limitations and No Guarantees

Our consulting services involve professional advice, coaching, and strategic guidance. While we commit to delivering services with professional care and expertise, we do not guarantee specific business outcomes, financial results, or performance improvements. The success of any consulting engagement depends on numerous factors, many of which are outside our control, including your organization's implementation of recommendations, market conditions, and other variables.

You acknowledge that consulting services are advisory in nature and that all final decisions regarding business strategy, operations, and implementation remain your responsibility.

7. Intellectual Property

7.1 Client-Created Materials

You retain ownership of all materials, documents, and work product that you create during consulting sessions, including but not limited to strategic plans, action items, and implementation documents developed by you or your team.

7.2 HearthLeadership Proprietary Materials

All proprietary methodologies, frameworks, tools, templates, and materials developed by HearthLeadership remain our exclusive intellectual property. You are granted a limited, non-exclusive, non-transferable license to use such materials solely for your internal business purposes in connection with the consulting engagement. You may not reproduce, distribute, or share our proprietary materials with third parties without our prior written consent.

8. Confidentiality

We respect the confidential nature of your business information. We will not disclose any confidential information shared during consulting engagements to third parties without your consent, except as required by law. Similarly, you agree not to disclose our proprietary methodologies, business practices, or confidential information to third parties.

9. Limitation of Liability

To the maximum extent permitted by law, HearthLeadership shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use our services

  • Any conduct or content of any third party

  • Unauthorized access, use, or alteration of your content

Our total liability to you for all claims arising from or related to the services shall not exceed the amount you paid us for services in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate a consulting engagement with written notice as specified in the applicable consulting agreement. Unless otherwise agreed, termination does not entitle you to a refund of fees already paid for services rendered. Upon termination, you must cease using any of our proprietary materials and methodologies.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Western Australia, Australia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Western Australia, Australia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the revised Terms.

14. Entire Agreement
